1. Acceptance of Terms

By accessing or using AgentLayer's services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

AgentLayer provides real-time AI operations intelligence through our API and web interface, including:

• Real-time LLM pricing data across multiple providers
• Model benchmarks and performance metrics
• Deprecation alerts and provider change tracking
• MCP-native API endpoints for integration

3. User Accounts

To access our services, you must:

• Provide a valid email address
• Maintain the security of your API key
• Not share your account credentials
• Be responsible for all activity under your account

4. Subscription Plans and Payments

Plan Tiers

We offer three subscription tiers processed via Stripe:

• Starter ($99/month): Full API access, hourly updates, standard rate limits
• Pro ($299/month): Higher rate limits, priority support, historical data
• Scale ($499/month): Maximum throughput, dedicated support, SLA guarantees

Billing

Subscriptions auto-renew monthly. You may cancel anytime via Stripe or by contacting support. No refunds for partial months.

5. Acceptable Use Policy

You agree NOT to:

• Exceed your plan's rate limits or attempt to circumvent them
• Use the service for any illegal purpose or violation of laws
• Attempt to reverse engineer, decompile, or copy our service
• Resell or redistribute our data without written permission
• Interfere with service security or integrity

6. API Key Security

Your API key is the credential for accessing our services. You are responsible for:

• Keeping your API key confidential
• All requests made with your key (valid for 30 days)
• Immediately regenerating compromised keys

7. Intellectual Property

All content, data, and technology provided by AgentLayer remain our property. This includes:

• LLM pricing data and benchmarks
• API designs and documentation
• Website design and content

You retain rights to any data you submit to our API.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. Our data updates hourly, but we cannot guarantee real-time accuracy of third-party pricing.

9. Limitation of Liability

AgentLayer shall not be liable for:

• Indirect, incidental, or consequential damages
• Decisions made based on our pricing data
• Service interruptions beyond our reasonable control
• Total liability exceeding the amount paid by you in the past 12 months

10. Termination

We may suspend or terminate your access for violations of these terms. You may cancel your subscription at any time. Upon termination, your API key will be deactivated and data deleted per our retention policy.

11. Changes to Terms

We may modify these terms. Continued use after changes constitutes acceptance. Material changes will be notified via email or service announcement.

12. Governing Law

These terms are governed by Delaware law, USA. Disputes shall be resolved in Delaware courts.
